Tobi Terms and Conditions

Welcome to Tobi!

These Terms and Conditions (the "Terms") are a binding agreement between you and Tobi, Inc. ("Tobi," "we," or "us"). By accessing or using our website, products, services, videos, educational materials, blogs, media channels, emails, or applications (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you may not use the Services. Your continued use of the Services means you accept these Terms, which will remain in effect for as long as you use them.

Future Changes to the Terms

We're always working to improve our Services, which means these Terms may also need to evolve. We reserve the right to update them at any time. If we make changes, we'll let you know by posting a notice on our site and by updating the "Last updated" date of these Terms. You waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Services so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Services after the date such revised Terms are posted.

If you don't agree with the updated Terms, you may reject them, but that also means you can no longer use the Services. By continuing to use the Services after changes take effect, you agree to the revised Terms.

Other than updates made by us as described above, no amendment to these Terms will be valid.

User Privacy

We take your privacy very seriously. You can review our Privacy Policy here, which is incorporated into these Terms. You agree not to share your account or password with anyone and to take reasonable steps to protect their security. You are solely responsible for all activity that occurs under your account.

You Must Be 18 or Older

You represent and warrant that you are an individual of legal age to form a binding contract.

You may not use our Services if you are under 18. Please do not register for the Services or share any personal information with us. If we discover that we have collected personal information from someone under 18, we will delete it promptly. If you believe a minor has provided us with personal information, please contact us at support@tobiwealth.com.

U.S. Use Only

The Services are designed for individuals located in the United States. Tobi makes no representation that the Services are appropriate or available for use outside the U.S., and access to the Services from jurisdictions where such access is illegal is prohibited. If you choose to access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

Advisory Status and Limitations

Tobi is a Registered Investment Adviser licensed in the Commonwealth of Virginia only.

At this stage, our Services—including the website, applications, and related features—are designed to provide financial coaching, budgeting, and educational tools only. You acknowledge and agree that we currently do not provide investment advice, comprehensive financial planning, make securities recommendations, or manage client assets through the Services. Any information provided is for informational and educational purposes only and should not be construed as personalized investment advice.

For personalized investment or financial planning advice, you should consult with a qualified financial professional licensed in your jurisdiction.

In the future, Tobi may expand to include investment advisory services. If that occurs, the scope of such services will be clearly described in an updated version of these Terms or in a separate agreement, and your continued use of the Services after such updates take effect will signify your agreement to them.

No Other Services

You acknowledge and agree that Tobi is not a consumer reporting agency (as such term is defined in the Fair Credit Reporting Act, 15 U.S.C. § 1681a(d), the "FCRA"), creditor, credit repair company, credit counselor, debt consolidator, debt adjustor, loan servicer, tax advisor, accountant, insurance agent, or broker. TOBI IS NOT A LAW FIRM, AND DOES NOT PROVIDE LEGAL ADVICE.

Credit Reporting and Legal Use

You acknowledge and agree that Tobi is not affiliated with any credit reporting agency and has no authority to determine your eligibility for:

  • Credit or insurance for personal, family, or household purposes;
  • Employment purposes;
  • A license or other benefit issued by a government agency; or
  • Any other product, service, or transaction for which a consumer report may be used under the Fair Credit Reporting Act ("FCRA") or similar state laws—including, without limitation, apartment rentals, check‑cashing, or opening a deposit or transaction account.

Tobi also has no authority to take any "adverse action," as defined under the FCRA.

If your use of the Services is prohibited by applicable law, you are not authorized to use them. Tobi is not responsible for, and disclaims liability arising from, any unlawful use of the Services.

Additional Restrictions on Use

Your use of the Services is subject to the following restrictions. You represent, warrant, and agree that you will not provide Tobi with any information, or otherwise use or interact with the Services in a way that:

  • Infringes or violates our intellectual property rights;
  • Violates any law or regulation, including but not limited to applicable export control laws, privacy laws, the Fair Credit Reporting Act (FCRA), or the Gramm-Leach-Bliley Act (GLBA);
  • Is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;
  • Systematically retrieves data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us;
  • Uploads or transmits (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services;
  • Uses the Services to distribute malware or engage in phishing activities;
  • Jeopardizes the security of your Tobi account or anyone else's account (for example, by allowing another person to log in as you);
  • Attempts to obtain the password, account, or other security information of any other user;
  • Tricks, defrauds, or misleads us and other users, including but not limited to in any attempt to learn sensitive account information such as user passwords or personal information;
  • Violates the security or uptime of any computer network, or attempts to crack passwords or security encryption codes;
  • Runs mailing lists, listservs, auto-responders, "spam," or any processes that run or are activated while you are not logged into the Services, or that otherwise interfere with the proper functioning of the Services (including by placing an unreasonable load on the Services' infrastructure);
  • "Crawls," "scrapes," or "spiders" any page, data, or portion of the Services or content (whether by manual or automated means);
  • Copies or stores Tobi's content, videos, video scripts, blogs, designs, graphics, workflows, user interface, or related information;
  • Decompiles, reverse engineers, or otherwise attempts to obtain the source code, underlying ideas, algorithms, or information relating to the Services;
  • Makes improper use of our support services or submit false reports of abuse or misconduct;
  • Engages in unauthorized framing of or linking to the Services;
  • Uses any information obtained from the Services in order to harass, abuse, or harm another person;
  • Uses the Services as part of any effort to compete with us or otherwise use the Services or Content for any revenue-generating endeavor or commercial enterprise;
  • Trains any AI model or algorithm;
  • Attempts to impersonate other users or Tobi employees, officers, investors, or advisors.

You further represent and warrant that you are only providing information about your own credit, accounts, assets, liabilities, and other financial information, and that you have all necessary rights and authorizations to provide any information submitted to Tobi by you or by third-party providers authorized by you.

The Services are not tailored to comply with industry-specific regulations (such as Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

A violation of any of the foregoing is grounds for termination of your right to use or access the Services.

Intellectual Property and Use of Content

The Services, including all source code, databases, functionality, software, website designs, audio, video, scripts, mascots, text, photographs, graphics, and other materials (collectively, the "Content"), as well as the trademarks, service marks, and logos displayed through the Services (the "Marks"), are owned or licensed by Tobi and are protected by U.S. and international copyright, trademark, and unfair competition laws.

Except as expressly permitted in these Terms, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any Content or Marks for any commercial purpose without Tobi's prior written consent. You may not use any Marks without our prior written permission.

Limited License

Provided you meet the eligibility requirements set forth in these Terms, Tobi grants you a limited, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Services and to download or print a copy of Content to which you have lawful access, solely for your personal, non‑commercial use.

Reservation of Rights

All rights not expressly granted to you are reserved by Tobi. You agree to comply with all copyright notices, trademark rules, and other restrictions associated with the Content and Marks.

Prohibited Uses

You acknowledge that Tobi owns the Services. Except as expressly permitted in these Terms, you may not modify, publish, transmit, sell, reproduce, create derivative works from, or otherwise exploit any part of the Services.

By using our Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (5) You will not use the Services to engage in any activity that could harm us or any third party; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

User Submissions

We may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material. Anything you post, upload, share, store, or otherwise provide through the Services is considered a "User Submission." User Submissions may be viewable by other users of the Services and through third-party websites. As such, any User Submissions you transmit may be treated as non-confidential and non-proprietary. You retain ownership of your Contributions, but you grant us a license to use them. You grant us certain rights in those User Submissions so we can display your User Submissions on the Services, subject to our Privacy Policy to the extent they include your personally identifiable information.

For all User Submissions, you grant Tobi a license to translate, modify (for technical purposes, such as ensuring your content is viewable on different devices), reproduce, and otherwise act with respect to such User Submissions as needed to operate, troubleshoot, or improve the Services. This is a license only—your ownership of your User Submissions is not affected.

You are solely responsible for all information you contribute to the Services and represent and warrant that you have all necessary rights to do so. You agree to keep your registration information accurate and current, and you are responsible for all activity that occurs under your account.

Feedback

If you choose to provide Tobi with any feedback, suggestions, improvements, enhancements, or feature requests relating to the Services ("Feedback"), you agree that such Feedback is non‑confidential and shall become the sole property of Tobi. Tobi will own all rights, including all intellectual property rights, in such Feedback and may use, disclose, reproduce, license, distribute, or otherwise exploit it for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

You hereby waive any moral rights in such Feedback and represent and warrant that the Feedback is original to you or that you otherwise have the right to submit it. You agree that there will be no recourse against Tobi for any alleged or actual infringement or misappropriation of any proprietary right in your Feedback. Tobi may, at its discretion, choose to make Feedback visible to other users or the public.

Third‑Party Links and Services

The Services may contain links or connections to third‑party websites or services not owned or controlled by Tobi. By accessing such sites or services, you acknowledge the risks involved and agree that Tobi is not responsible for them. We encourage you to review the terms and privacy policies of any third‑party site or service you use.

Tobi has no control over, and assumes no responsibility for, the content, accuracy, privacy practices, or opinions expressed on third‑party websites or by third parties you interact with through the Services. We do not and cannot monitor, verify, censor, or edit third‑party content. By using the Services, you release and hold Tobi harmless from any liability arising from your use of third‑party websites or services.

If a dispute arises between you and another user, or between you and a third party, Tobi has no obligation to become involved. By using the Services, you release Tobi and its officers, employees, agents, advisors, investors, and successors from any claims, demands, or damages of any kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or related to such disputes and/or the Services.

If you are a California resident, you expressly waive California Civil Code Section 1542, which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which, if known by him or her must have materially affected his or her settlement with the debtor."

AI Services

Tobi may offer Services that incorporate or are powered by artificial intelligence technology (the "AI Services"). By using our Services, you acknowledge and agree that AI Services may be used to process data, provide recommendations, and improve service performance.

The information generated by AI Services is produced through artificial intelligence or machine learning, which are rapidly evolving fields. Because of their probabilistic nature, AI Services may sometimes generate information that is incomplete, incorrect, or inaccurate.

Content generated by AI Services does not constitute financial advice or any other form of professional advice. You must verify the accuracy of any information obtained through AI Services with a qualified professional before relying on it.

You acknowledge that relying on information generated by AI Services without independent verification could result in harm, including but not limited to legal, financial, or physical harm.

You agree to use information provided by AI Services solely for your personal purposes and not to make such information publicly available. You further agree not to provide unnecessary, misleading, or deceptive inputs in connection with your use of AI Services (including attempts to steer the system into generating inaccurate or harmful results). You also agree that you will not use the AI Services on any topics that do not directly concern personal finance topics.

Modifications, Interruptions, and User Data

We reserve the right, at our sole discretion, to change, modify, or remove any content or functionality as part of the Services at any time and for any reason, without prior notice. We also reserve the right to suspend, discontinue, or otherwise alter all or part of the Services at any time without notice. You agree that we will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

We do not guarantee that the Services will always be available or uninterrupted. Technical issues, maintenance, or other circumstances may result in delays, errors, or temporary unavailability. You acknowledge and agree that we have no liability for any loss, damage, or inconvenience caused by your inability to access or use the Services during such periods.

We may retain certain data that you transmit to the Services for the purpose of managing and improving their performance, as well as information related to your use of the Services. While we may perform routine backups, you remain solely responsible for all data you transmit and for any activity conducted through the Services. You agree that we will not be liable for any loss, corruption, or alteration of such data, and you hereby waive any right of action against us arising from such loss or corruption.

Social Media Channels

Our social media channels and related content are provided for informational purposes only and are subject to our Social Media Disclaimer, available here. By using our Services, you acknowledge and agree to that disclaimer.

Fees and Payments

Tobi reserves the right to charge fees for some or all Services. You agree to pay all applicable fees as described on our website in connection with the Services you select ("Fees"). The Fees may include subscription fees that are charged either monthly or annually–as agreed to.

Tobi may change its pricing and introduce new charges at any time, with notice provided by email or by posting on the website. Your continued use of the Services after such notice constitutes your acceptance of the updated Fees.

The Fees will be charged in advance to the credit card you provide when enrolling in the Services. You may cancel your Services at any time; however, Fees already paid are non‑refundable.

If Tobi is providing you with Services on an annual subscription term, the subscription will automatically renew every twelve (12) months. Tobi will notify you before the end of each term. If you wish to cancel auto‑renewal for the following year, you must notify Tobi within three (3) days of receiving the renewal notice.

Tobi may change the Subscription Fee upon notice to you, but any change will only apply after your current term ends. If you do not wish to pay the new Fee, your sole remedy is to cancel the Services before the end of your current term.

When you provide your credit card information to make a payment through our Services, you authorize Tobi to place an authorization hold on your card. This hold is used to verify the validity of the card and confirm that sufficient funds are available. The hold amount may equal the anticipated transaction amount or a nominal amount determined by us.

Authorization holds generally remain on your account for a limited period, which varies depending on your card issuer and our payment processor. Once the hold expires, the funds will be released back to your available credit. The exact timing of release is outside of Tobi's control and may depend on factors such as the type of transaction and the policies of your card network or issuing bank.

We will make reasonable efforts to inform you of any authorization hold at the time of purchase or during checkout. However, please note that authorization holds may not always appear immediately on your credit card statement.

Free Trials and Promotions

From time to time, Tobi may offer free trials or promotional offers ("Promotions") and reserves at its sole discretion to extend or end such Promotions without notice. If there's a promotional period associated with a Promotion and you wish to avoid being charged, you must cancel the Services before the end of the Promotion. If you cancel before the end of the Promotion but are still charged in error, please contact us at support@tobiwealth.com.

Account Termination

You may terminate your account at any time, either through your user settings or by contacting us at support@tobiwealth.com. As stated above, any Fees already paid shall be non-refundable. Please review our Privacy Policy, as well as these Terms, to understand how we handle information you provide after you stop using our Services.

Tobi may also suspend or terminate your access to the Services, at our sole discretion, including but not limited to for any violation of these Terms or non-payment of Fees. Tobi alone will determine whether your conduct violates these Terms or any restrictions set forth herein.

Termination of your account may result in the deletion of your information. We will make reasonable efforts to provide advance notice so you can retrieve important User Submissions (to the extent permitted by law and these Terms). However, we may not provide notice if doing so would be impractical, unlawful, pose a safety or security risk, or otherwise harm Tobi's rights or property.

If you delete your account by mistake, contact us immediately at support@tobiwealth.com. We will attempt to assist, but we cannot guarantee recovery or restoration of any data.

Certain provisions of these Terms will survive termination, including but not limited to: your payment and indemnification obligations, limitations on our liability, ownership and intellectual property rights, and terms regarding dispute resolution.

Additional Terms for Apple App Store Applications

These Terms apply to your use of all Services, including the iPhone, iPod Touch, and iPad applications made available through the Apple, Inc. ("Apple") App Store (the "Application"). The following additional terms also apply to your use of the Application:

  • You and Tobi acknowledge that these Terms are concluded between you and Tobi only, not with Apple. Apple is not responsible for the Application or its Content.
  • The Application is licensed to you on a limited, non‑exclusive, non‑transferable, non‑sublicensable basis, solely for use in connection with the Services for your personal, non‑commercial purposes, and subject to these Terms.
  • You will only use the Application on an Apple device that you own or control.
  • Apple has no obligation to provide maintenance or support services for the Application.
  • If the Application fails to conform to any applicable warranty (including those implied by law), you may notify Apple, and Apple's sole warranty obligation will be to refund the purchase price, if any, of the Application.
  • Tobi, not Apple, is responsible for addressing any claims you or third parties may have relating to the Application or your use of it.
  • In the event of a third‑party claim that the Application or your possession or use of it infringes intellectual property rights, Tobi, not Apple, will be responsible for the investigation, defense, settlement, and discharge of such claims.
  • You represent and warrant that you are not located in a country subject to a U.S. Government embargo, designated as a "terrorist supporting" country, or listed on any U.S. Government list of prohibited or restricted parties.
  • You agree to comply with all applicable third‑party terms of agreement when using the Application.
  • You and Tobi acknowledge and agree that Apple and its subsidiaries are third‑party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third‑party beneficiary.

Referral Program

From time to time, Tobi may offer rewards or incentives for referring others to the Services.

The referring user ("Referrer") may refer individuals who are not current customers of Tobi and who do not already have an account with the Services ("Referee").

A registered user is defined as any person or entity with an existing Tobi account.

Referral offers may include limits on the number of referrals a Referrer can make, or on the total rewards or incentives a Referrer may receive.

A Referrer will receive the stated reward or incentive for each eligible Referee who completes the required action described in the specific offer.

All Referees must be first‑time recipients of the offer. Multiple referrals to the same individual or entity will not be counted.

Tobi reserves the right to modify or terminate referral offers at any time and may revoke rewards or incentives from either Referrer or Referee at its discretion, for any reason or no reason. If Tobi determines that a Referrer or Referee has attempted to gain an unfair advantage or otherwise violated the terms or spirit of the offer, Tobi may:

  • Revoke any rewards or incentives issued to either party; and/or
  • Charge the Referrer or Referee for any rewards or incentives (a) already used prior to revocation, or (b) issued to an ineligible Referrer or Referee.

All referral offers are subject to any additional terms, conditions, and restrictions presented in connection with the specific offer or posted regarding the Services.

Disclaimers

You access and use the Services, and all related information, at your own risk. Neither Tobi nor its licensors or suppliers makes any representations or warranties regarding the accuracy, reliability, or completeness of any information accessed through the Services.

Tobi (and its licensors and suppliers) makes no representations or warranties concerning any suggestions or recommendations of services or products offered or purchased through the Services. All such products and services are provided "AS IS", without any warranty of any kind from Tobi or others (unless expressly and unambiguously provided in writing by a designated third party for a specific product).

The Services may contain links or connections to third‑party websites or services not controlled by Tobi. Accessing such sites involves risks, and Tobi is not responsible for those risks.

Tobi is not liable for any errors, omissions, damages, or losses you may suffer in connection with your use of the Services. We cannot control, and have no duty to act upon, how you interpret or use the Services or what actions you take as a result of being exposed to them. You hereby release Tobi from all liability related to your having acquired—or not acquired—information through the Services.

Some information may include forward‑looking statements based on assumptions that may not reflect current or future events. Tobi is not responsible for such forward‑looking statements, and there is no assurance that actual results will match those expressed or implied.

THE SERVICES AND CONTENT ARE PROVIDED BY Tobi (AND ITS LICENSORS AND SUPPLIERS) ON AN "AS-IS" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnity

You agree to indemnify and hold Tobi, its affiliates, officers, agents, employees, advisors, investors, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys' fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms. In the event of such a claim, suit, or action ("Claim"), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

Assignment

You may not assign, delegate or transfer these Terms or your rights or obligations hereunder, or your Services account, in any way (by operation of law or otherwise) without Tobi's prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent.

Choice of Law; Arbitration

These Terms are governed by and will be construed under the laws of the Commonwealth of Virginia, without regard to its conflicts of laws provisions. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in Fairfax County, Virginia, in English, in accordance with the Streamlined Arbitration Rules and Procedures of Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes, who shall be selected from the appropriate list of JAMS arbitrators in accordance with such Rules. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing obligation to arbitrate disputes, each party shall have the right to pursue injunctive or other equitable relief at any time, from any court of competent jurisdiction. For all purposes of these Terms, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Fairfax County, Virginia, or the Eastern District of Virginia.

ANY ARBITRATION UNDER THESE TERMS WILL TAKE PLACE ON AN INDIVIDUAL BASIS: CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED. YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND TOBI ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

Miscellaneous

Taxes

You are solely responsible for paying, withholding, filing, and reporting all taxes, duties, and other governmental assessments associated with your activity in connection with the Services.

Severability

If any provision of these Terms is found unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms represent the complete and exclusive understanding between you and Tobi, and they supersede and replace all prior written or oral agreements, communications, and understandings relating to their subject matter.

Relationship of the Parties

You acknowledge and agree that you are not an employee, agent, partner, or joint venturer of Tobi, and you have no authority to bind Tobi in any way.

Third‑Party Beneficiaries

Except as expressly provided in the section above regarding the Apple Application, these Terms do not create any third‑party beneficiary rights.

Construction and Form

You agree that these Terms of Use shall not be construed against us solely because we drafted them. You further waive any defense based on the electronic form of these Terms of Use or the absence of physical signatures by the parties.
